When purchasing any products or services you will be entering into a contract with Vicki Wallis Ltd. By making a purchase, you are confirming that you are of legal age to enter into a contract in the United Kingdom. Should you be legally considered a minor, you must obtain permission from your parent or guardian.

Coach’s Role;

The Client understands and agrees that;

1. Payment is required in advance and is non-refundable.

2. The Client understands that due to the nature of consulting, information passed to the Client may have also been passed on to other Client’s, if the same information also applies to them.

3. Although every care will be taken to provide accurate information relevant to the Client, the Coach cannot be held responsible for the outcome of the use of such information and it’s recommended that the client does their own due diligence to ensure they take the most appropriate course of action. The Client agrees that they shall not hold the Coach liable for any incidental or consequential damages that arise from the Coach’s information.

4. Any companies or service providers referenced by the Coach should not be considered recommendations. It is the responsibility of the Client to ensure any suppliers or providers they engage with meet their requirements and it’s important they undertake their own due diligence.

CONFIDENTIALITY

For the purposes of this Agreement, Confidential Information means any information relating which is provided or made available to Coach including but not limited to any information relating to the Client’s customers, suppliers, employees, officers, methods, products, services, databases, marketing, know-how, technical data, intellectual property, plans, finances or trade secrets in in the form of documents, techniques, methods, practices, tools, specifications, inventions, patents, trademarks, copyrights, equipment, algorithms, models, samples, software, drawings, sketches, plans, programs or other oral or written knowledge and/or secrets and may pertain to, but is not limited to, the fields of research and development, forecasting, marketing, personnel, customers, suppliers, intellectual property and/or finance or any other information which is confidential and commercially valuable. Confidential Information does not include (i) information which is in the public domain unless it is as a result of a breach of this agreement by Coach (ii) information which was lawfully available to Coach with no confidentiality restrictions prior to entering into this Agreement (iii) information which has been rightfully received by Coach from a third party who is authorized or has the right to disclose it.


The Parties acknowledges and agrees that Confidential Information may be exchanged between parties during the Term of this Agreement. The Parties must maintain the secrecy of Confidential Information and treat all Confidential Information as private and confidential.
The Parties acknowledges and agrees that Confidential Information that Client shares with Coach during the Term of this Agreement is not subject to any legal confidentiality requirement or privilege.


The Parties acknowledges and agrees that Confidential Information that Client shares with Coach during the Term of this Agreement is bound by the principles of confidentiality set forth in the ICF Code of Ethics.
Coach shall not disclose Client’s name or any of Client’s information without Client’s consent, unless subject to a legal requirement, such as a court order, subpoena, or law enforcement inquiry.


Coach shall use Confidential Information solely in the performance of the obligations under the terms of this Agreement. Coach will not disclose the Confidential Information without the prior written consent of the Client except where required by law or regulation. Coach shall indemnify Client against all losses, costs, expenses and other liabilities which may be suffered or incurred by Client in connection to or arising out of any breach by Coach.



Coach may use reputable third party software and artificial intelligence tools as part of delivering the Services. Any such use shall be for internal support purposes only and will remain subject to the confidentiality obligations in this Agreement. Coach will take reasonable care not to disclose personally identifiable or commercially sensitive Confidential Information.


The Coach acknowledges that: (i) the Coach’s compliance with this Agreement is necessary to preserve and protect the proprietary rights, Confidential Information and the goodwill of the Client as going concerns; (ii) any failure by the Client to comply with the provisions of this Agreement shall result in irreparable and continuing injury for which there will be no adequate remedy at law; and (iii) in the event that the Coach should fail to comply with the terms and conditions of this Agreement, the Client shall be entitled, in addition to such other relief as may be proper, to all types of equitable relief as may be necessary to cause the Coach to comply with this Agreement.

This Agreement is governed by the laws of the United Kingdom and each party submits to the exclusive jurisdiction of the English courts to resolve any dispute arising hereunder. The client agrees to pay for the services rendered by Coach for the Work as agreed upon. By purchasing, the Client agrees they have read, understood, and are considered legally bonded to these terms.
